# Terms of Service

## 1. Acceptance

By creating an account or making a purchase on **oudenic.com** (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

You must be at least **16 years of age** to use this service.

## 2. Service Description

### 2.1 What We Provide

OUDENIC sells **prepaid eSIM data plans** and **monthly eSIM subscription plans** for international mobile data connectivity. Our service includes:

- Digital eSIM profile provisioning, delivered via QR code
- Data connectivity through partner mobile network operators
- Monthly subscription plans with daily high-speed data allowances and auto-renewal
- A self-service dashboard for managing your eSIMs, orders, subscriptions, and account

### 2.2 What We Do NOT Provide

- Physical SIM cards or hardware of any kind
- Voice calling or SMS messaging services
- Guaranteed network speeds; data connectivity is provided on a "best effort" basis
- Device compatibility support; it is your responsibility to verify eSIM compatibility before purchase

## 3. Account Responsibilities

### 3.1 Account Security

You are solely responsible for:

- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access

### 3.2 Accurate Information

You must provide accurate and complete information when creating an account. We reserve the right to suspend accounts containing fraudulent or misleading information.

### 3.3 One Account Per Person

Each individual may maintain only **one account**. Creating multiple accounts to circumvent restrictions, abuse promotions, or evade security measures is prohibited and constitutes grounds for immediate termination.

## 4. Billing and Payments

### 4.1 Pricing

- All prices are displayed in **USD**
- Applicable indirect taxes (VAT, GST, sales tax) may be calculated at checkout where required by law
- Prices are subject to change; however, the price displayed at the time of purchase is final

### 4.2 Payment Processing

- All payments are processed through PCI-compliant third-party payment processors
- We accept major credit and debit cards
- We do not receive, process, or store your payment card details

### 4.3 Order Expiration

- Unpaid orders expire automatically after a designated period
- Expired orders are canceled and any associated payment authorizations are voided
- Systematic abuse of the checkout process may result in temporary or permanent access restrictions

### 4.4 Subscription Billing

Monthly Plan subscriptions are billed on a recurring basis:

- The first billing period is **31 days**; subsequent billing periods are **30 days**
- By subscribing, you authorize OUDENIC to charge your payment method automatically at the beginning of each billing period until you cancel
- All subscription prices are in **USD** and inclusive of applicable processing fees
- Prices may be updated with **30 days' written notice** to active subscribers
- Payment is processed through Stripe; your payment information is handled directly by Stripe and is never stored on OUDENIC servers

### 4.5 Billing Period vs. Service Period

For subscription plans, the **billing period** (when you are charged) and the **service period** (when your eSIM data plan is active) may differ:

- The **billing period** is fixed and runs on a recurring schedule from the date of your initial subscription payment
- The **service period** begins when you install and activate the eSIM profile on your device
- **Billing is not contingent on activation.** If you do not install your eSIM, recurring charges will continue as authorized until you cancel the subscription
- If you install the eSIM after one or more billing cycles have occurred, your data service validity will commence from the date of installation — not retroactively from the billing date

## 5. Subscription Services (Monthly Plans)

### 5.1 Service Description

OUDENIC Monthly Plans are recurring eSIM data subscriptions that provide a daily high-speed data allowance with unlimited data at reduced speed after the daily allowance is consumed. Each plan is country-specific and delivered via eSIM technology.

### 5.2 Fair Use & Data Throttling

- Each Monthly Plan includes a daily high-speed data allowance (e.g., 1GB/day, 2GB/day) at the network speeds available from local carrier partners (typically 4G LTE or 5G where available)
- After the daily high-speed allowance is consumed, data service continues at a reduced speed specified in your plan details (e.g., 1Mbps, 256Kbps). Data at reduced speed is unlimited
- The daily high-speed allowance resets every **24 hours** from the eSIM's activation time
- **"Unlimited"** in the context of Monthly Plans refers to unlimited data volume at reduced speed after the daily high-speed allowance — not unlimited high-speed data
- OUDENIC reserves the right to implement additional fair use measures if usage patterns indicate abuse, including but not limited to: commercial resale of data service, operation of network infrastructure (servers, proxies, VPN relays), or systematic automated data consumption

### 5.3 Cancellation

- You may cancel your subscription at any time through your OUDENIC account dashboard
- Cancellation takes effect at the end of the current billing period. Your eSIM and data service remain active until that date
- No partial refunds or prorated credits are issued for unused days within a billing period
- After cancellation takes effect, the eSIM associated with the subscription will be deactivated and cannot be reactivated

### 5.4 Service Availability

- Monthly Plans depend on partnerships with local mobile network operators in the destination country. Coverage, network type (4G/5G), and data speeds are subject to local carrier infrastructure and availability
- OUDENIC does not guarantee uninterrupted service, specific data speeds, or coverage in all areas within a country
- OUDENIC reserves the right to modify, suspend, or discontinue any Monthly Plan with **30 days' notice** to active subscribers. If a plan is discontinued, subscribers will not be charged for subsequent periods after the discontinuation date

### 5.5 Activation and Service Commencement

The timing of your subscription data service depends on when you install the eSIM:

- **If installed promptly:** Your data service begins immediately upon installation. Subsequent renewal data service will be provisioned automatically before the current service period expires.
- **If not installed immediately:** Your billing continues as scheduled (see §4.5), but the actual provisioning of data service from our network partner is deferred until you install the eSIM profile on your device. Once installed, your data service validity begins from the installation date, ensuring you receive the full duration of service you have paid for.
- **You will not lose paid service days due to delayed installation.** However, OUDENIC is not responsible for any inconvenience arising from your decision to delay installation, including but not limited to reduced overlap between billing and service periods.
- **Uninstalled profiles:** If you never install the eSIM and your subscription expires or is canceled, you are not entitled to a refund for billing periods during which data service was available but not activated by you. See our [Refund Policy](/refund) for details.

### 5.6 Modifications to Subscription Terms

OUDENIC may update these subscription-related terms at any time. Material changes will be communicated via email to active subscribers at least **30 days** before taking effect. Continued use of the subscription service after the effective date constitutes acceptance of the updated terms.

## 6. eSIM Provisioning and Delivery

### 6.1 Delivery

Upon successful payment, your eSIM profile will be delivered as a downloadable QR code accessible through your account dashboard. You will also receive an email confirmation.

### 6.2 Activation

- For **one-time (prepaid) purchases**, the validity period of your eSIM plan begins upon **first network attachment** — that is, when the profile connects to a mobile network for the first time
- For **subscription plans**, see §5.5 for activation and service commencement timing
- Purchased but uninstalled eSIM profiles remain available for up to **six (6) months** from the date of purchase
- You are responsible for installing the eSIM on a compatible device within this period

### 6.3 Fulfillment Model

OUDENIC operates an on-demand provisioning model. eSIM profiles are procured from our supplier upon order confirmation. Delivery typically completes within a few minutes under normal conditions.

### 6.4 Non-Transferability

- eSIM profiles are single-use and bind exclusively to the device on which they are first installed
- An installed eSIM **cannot be transferred** to a different device. Deleting an eSIM from your device will permanently invalidate it, and the original QR code cannot be rescanned on a new device

## 7. Acceptable Use Policy

### 7.1 Prohibited Activities

You agree not to use the service for:

- Any activity that violates applicable law
- Circumventing trade sanctions or export controls
- Excessive or abusive bandwidth consumption beyond reasonable personal use
- Reselling eSIM profiles without prior written authorization
- Reverse engineering, scraping, or otherwise exploiting the Platform
- Automated purchasing or other bot-driven activity

### 7.2 Enforcement

Violation of this Acceptable Use Policy may result in:

- Immediate suspension or permanent revocation of eSIM profiles
- Permanent account termination
- Forfeiture of any active plans

## 8. Sanctions and Geographic Restrictions

### 8.1 OFAC Compliance

In compliance with United States sanctions law, access to the Platform is blocked from the following jurisdictions:

- Iran
- North Korea
- Syria
- Cuba

These restrictions are enforced at the infrastructure level and cannot be overridden.

### 8.2 Additional Restrictions

We may restrict access from additional countries or regions based on regulatory requirements, fraud risk assessment, or network coverage limitations. Such restrictions are subject to change without notice.

## 9. Refunds and Disputes

Refund eligibility and procedures are governed by our [Refund Policy](/refund). In summary:

- Unprovisioned eSIM profiles are eligible for a full refund
- Provisioned eSIM profiles where data has been consumed are non-refundable
- **Subscription renewal payments are non-refundable**; cancel before your renewal date to avoid charges
- Chargebacks initiated without prior contact through our support channels will result in immediate account suspension and eSIM revocation

## 10. Account Deletion

### 10.1 Requesting Deletion

You may request permanent deletion of your account by submitting a support ticket at [oudenic.com/support](https://oudenic.com/support) under the **"Account"** category.

### 10.2 Deletion Process

Upon verification of your identity and processing of your request:

1. Your account will be permanently deactivated
2. Personal identifiers will be anonymized
3. Active eSIM profiles will be revoked
4. Transaction records will be retained in anonymized form as required by applicable tax law

### 10.3 Irreversibility

> **Account deletion is permanent and irreversible.** Once your account is deleted, you will not be able to create a new account using the same email address. Any active eSIM profiles and associated data will be permanently forfeited.

## 11. Intellectual Property

All content on the Platform — including trademarks, logos, text, software, and design elements — is the property of OUDENIC LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission.

## 12. Limitation of Liability

To the maximum extent permitted by applicable law:

- The service is provided **"AS IS"** without warranties of any kind, express or implied
- We are not liable for network outages, service disruptions by our carrier partners, or device compatibility issues
- Our total liability for any claim arising from or related to the service shall not exceed the amount paid by you for the specific order in question
- In no event shall we be liable for indirect, incidental, consequential, or punitive damages

## 13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date.

For **material changes** that significantly affect your rights or obligations, we will provide at least **14 days' advance notice** via email before the changes take effect.

Continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms.

## 14. Governing Law and Dispute Resolution

- These Terms are governed by the laws of the **State of Wyoming, United States**
- Any dispute arising from or relating to these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association
- Arbitration shall be conducted in English, with the seat in Cheyenne, Wyoming
- You waive any right to participate in class action proceedings
